Here's exactly how we work together, what we handle, what you're responsible for, and how our 7% flat fee works.
This agreement outlines how CC Freight Logistics works with you as a carrier. Please read it carefully before signing below.
Preamble
This Dispatcher Service Agreement (“Agreement”) is entered into between the undersigned Carrier/Owner-Operator (“Carrier”) and CC Freight Logistics (“Dispatcher”). Carrier authorizes Dispatcher to act as Carrier’s dispatcher and logistics manager for the sole purpose of searching for and booking loads, processing brokerage paperwork, and obtaining and submitting the documents required to move and dispatch loads, by phone, fax, or email, for Carrier’s truck(s).
Obligations of Dispatcher
Dispatcher will handle paperwork, phone calls, and correspondence with brokers or shippers to tender shipments to Carrier for transportation within the scope of Carrier’s operating authority.
Dispatcher bears no financial or legal responsibility for the transaction between the broker/shipper and Carrier.
Dispatcher will search for and present loads to Carrier.
Dispatcher will:
a. Make a genuine effort to keep Carrier’s truck(s) loaded.
b. Contact Carrier about every load found, by phone, text, or email. Carrier has full authority to accept or reject each load offered.
c. Invoice Carrier at the time of service and provide a copy of each load confirmation/rate confirmation sheet.
d. Payment is due to Dispatcher by Tuesday of the following week.
Obligations of Carrier
Carrier agrees to pay Dispatcher a flat fee of 7% of the total gross revenue (face value) of each booked load, as stated on the load confirmation sheet, across all equipment types. Fees are invoiced at the end of each week.
Dispatcher provides invoicing and billing paperwork support on Carrier’s behalf as part of this Agreement. Carrier remains the party entitled to payment from the broker, shipper, or factoring company. If revenue for a shipment becomes uncollectible, Dispatcher is held harmless, and no penalty or fee deduction will result.
Carrier agrees to maintain all licenses and permits required to operate as a motor carrier (including UCR, IFTA, and IRP, as applicable) in its area of operation, whether interstate or intrastate. Carrier agrees to maintain general liability insurance and cargo insurance at the amounts required by Carrier’s home state, with minimum limits of $1,000,000 Auto Liability and $100,000 Cargo Liability. Dispatcher is held harmless in the event of any claims.
Carrier authorizes Dispatcher to sign on Carrier’s behalf for rate confirmations, invoices, and related paperwork necessary to secure cargo and complete billing. Load confirmations, including shipment details and revenue to be paid, will be provided by email to Carrier. Dispatcher will sign and return confirmations to the broker or shipper by email or fax. (This authorization is formalized separately in the Limited Power of Attorney.)
Carrier is responsible for loss, damage, or liability arising from the transportation of property arranged by Dispatcher, broker, or shipper while the freight is in Carrier’s possession.
Carrier agrees to hold Dispatcher, broker, and shipper harmless from liability for personal injury or property damage occurring during Carrier’s operations under this Agreement.
This Agreement does not obligate Carrier to accept or use Dispatcher’s services on any given load. The term of this Agreement is ongoing, and either party may terminate it by providing seven (7) days’ written notice to the other.
Failure to pay Dispatcher for services rendered may result in immediate termination of this Agreement and services, at Dispatcher’s discretion.
Carrier shall not solicit Dispatcher’s shippers, brokers, or customers during this agreement and for 12 months after termination, or Carrier will pay a 10% penalty on all revenue generated from them.
This agreement should be reviewed by a licensed attorney before use.
